Spanish Fintech Receives CNMV Authorization to Launch EU’s First Regulated Blockchain Stock Exchange

Bit2Me STX, a Valencia-based fintech platform, has secured authorization from Spain’s securities regulator CNMV to establish and operate a regulated Trading and Settlement System (SNL) for security tokens under the European Union’s DLT Pilot Regime for Distributed Ledger Infrastructures.

The license grants Bit2Me STX the legal framework to operate a blockchain-based exchange that functions continuously, enabling the issuance, trading, custody, and settlement of traditional financial instruments tokenized on distributed ledger technology. The platform will facilitate transactions in equity securities, bonds, and fund units converted into digital security token format.

Pioneering European Infrastructure

The authorization represents a watershed moment for Spain’s position in the evolving landscape of digital capital markets infrastructure. Leif Ferreira, CEO of Bit2Me STX, and Co-CEO Andrei Manuel have positioned the exchange as a gateway for mid-cap companies seeking listing opportunities in technology, growth, pharmaceutical, and renewable energy sectors through tokenized securities offerings.

“This milestone makes Bit2Me STX a pioneer in Europe and consolidates Spain as a reference in the digital transformation of capital markets, especially for mid-cap companies in technology, growth, pharma and renewable energy sectors,” the company stated, emphasizing the strategic importance of the development for the Private Markets Exchange segment.

The CNMV’s approval underscores Spain’s regulatory readiness to embrace emerging financial infrastructure technologies. Operating under the DLT Pilot Regime, Bit2Me STX functions within a controlled sandbox environment that permits regulated entities to operate trading and settlement systems on distributed ledger technology with specified exemptions from certain traditional market infrastructure rules.

Regulatory Framework and Market Implications

The DLT Pilot Regime, established through EU regulatory reforms, permits member states to authorize up to three pilot projects to test blockchain-based settlement systems. Spain’s allocation of authorization to Bit2Me STX reflects the CNMV’s confidence in the platform’s technological architecture and governance structures.

The 24/7 operational capability of blockchain-based settlement contrasts with traditional market infrastructure constrained by banking hours and settlement cycles. Security token offerings on distributed ledgers can theoretically reduce settlement times from days to minutes or hours, potentially lowering transaction costs and improving capital efficiency for listed companies.

Broader European Context

Bit2Me STX’s authorization arrives amid broader European institutional efforts to integrate blockchain infrastructure into regulated financial markets. The DLT Pilot Regime itself represents a pragmatic regulatory approach—permitting controlled experimentation with distributed ledger technology rather than imposing categorical prohibitions.

The development carries significance for EU member states evaluating their own digital finance strategies. Spain’s proactive stance in licensing blockchain-based market infrastructure could influence competitive positioning across European financial centers and shape how other jurisdictions approach security token regulation. As traditional capital markets increasingly confront digitalization pressures, regulatory frameworks permitting licensed experimentation with distributed ledger settlement systems may become baseline requirements for maintaining market competitiveness in the evolving European financial ecosystem.
